ApplicationAlgorive Ops

This End User License Agreement (the “Agreement”) is between Algorive Inc, a California corporation (“Algorive,” “we,” “us”), and the business and the individual users who access or use Algorive Ops (“you”). By connecting a QuickBooks Online company to Algorive Ops, or by signing in to or using Algorive Ops, you agree to this Agreement. If you are accepting on behalf of a company, you confirm that you are authorized to bind that company. If you do not agree, do not connect or use Algorive Ops.

01The application

Algorive Ops is a business application operated by Algorive that connects to a QuickBooks Online company, with the owner’s authorization, to support bookkeeping, invoicing, payments and reporting for that company (the “Application”). Access is limited to Algorive and to users that Algorive authorizes. The Application is intended for business use only and not for personal, family or household purposes.

02License

Subject to this Agreement, Algorive grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application during the term of this Agreement, solely for the internal business purposes of the company whose QuickBooks Online data is connected. Algorive and its licensors retain all rights, title and interest in the Application, including all software, designs and related intellectual property. No rights are granted other than those expressly stated in this Agreement.

04QuickBooks connection

The Application connects to QuickBooks Online through Intuit’s authorization process (OAuth 2.0). When you connect, you authorize Algorive to access your QuickBooks Online company with the following permissions:

Algorive uses this access only to provide the Application to the connected company. You can disconnect at any time from within QuickBooks Online or by contacting us. Your use of QuickBooks Online and QuickBooks Payments remains subject to your agreements with Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the Application or for any support related to it.

05Your data

As between you and Algorive, you own the data from your QuickBooks Online company and any data you submit to the Application (“Your Data”). You grant Algorive a limited right to access, process, store and transmit Your Data solely to provide, secure and support the Application for you, and as otherwise described in our Privacy Policy. Algorive does not sell Your Data.

You are responsible for having the rights and permissions needed to connect your QuickBooks Online company and to let Algorive process Your Data.

07Your responsibilities

You remain responsible for your company’s books, invoices, payments, tax filings and financial decisions. You should review records, invoices and payments created or changed through the Application. Unless you and Algorive agree otherwise in writing, the Application does not provide legal, tax or accounting advice.

08Fees

Any fees for the Application or for related services are set out in a separate written agreement or order between you and Algorive. If there is no such agreement, no fees apply to your use of the Application under this Agreement.

09Third-party services

The Application depends on third-party services, including QuickBooks Online and QuickBooks Payments from Intuit and cloud hosting providers. Algorive is not responsible for the availability, operation or terms of third-party services, and your use of them is governed by their own terms.

10Disclaimer of warranties

To the maximum extent permitted by law, the Application is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Algorive does not warrant that the Application will be uninterrupted, error-free or free of harmful components, or that data will be complete or accurate.

11Limitation of liability

To the maximum extent permitted by law, Algorive will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to this Agreement or the Application, even if advised of the possibility of such damages. Algorive’s total liability arising out of or related to this Agreement or the Application will not exceed the greater of (a) the amounts you paid to Algorive for the Application in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

12Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Algorive and its officers, employees and representatives from third-party claims, losses and expenses (including reasonable attorneys’ fees) arising out of your violation of this Agreement, your misuse of the Application, or your violation of any law or third-party right.

13Term and termination

This Agreement applies from the time you first connect or use the Application until it is terminated. You may stop using the Application and disconnect QuickBooks Online at any time. Algorive may suspend or terminate your access at any time on notice, or immediately if you violate this Agreement. On termination, your license ends, and Algorive will handle Your Data as described in the Privacy Policy. Sections 5, 7 and 10 through 16 survive termination.

14Changes

We may update this Agreement from time to time. If we make material changes, we will update the “Last updated” date above and give reasonable notice, for example by email or in the Application. Continued use of the Application after the changes take effect means you accept the updated Agreement.

15Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising out of or related to this Agreement, and each party consents to personal jurisdiction there.

16General

If you have a separate signed agreement with Algorive that covers the Application, that agreement controls where it conflicts with this Agreement. You may not assign this Agreement without Algorive’s prior written consent; Algorive may assign it in connection with a merger, acquisition or sale of assets. If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. This Agreement, together with the Privacy Policy and any separate agreement referred to above, is the entire agreement between you and Algorive about the Application.
